Terms of Use — Zoom BackUpz

1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Zoom BackUpz ("the Application", "we", "us", or "our"), regarding your installation, access, and use of the Zoom BackUpz desktop software and associated services.

By downloading, installing, connecting to Zoom, or using Zoom BackUpz, you agree to be bound by these Terms. If you do not agree to all terms and conditions set forth herein, you must immediately cease using the Application and remove it from your device.

2. Description of Application

Zoom BackUpz is a specialized client software utility that integrates with Zoom Video Communications, Inc. via official Zoom OAuth 2.0 APIs. The Application enables users to browse, download, index, and archive their authorized Zoom cloud recordings directly to user-configured local drives or private network storage destinations (such as WebDAV/Nextcloud).

3. Eligibility and User Responsibilities

By using the Application, you represent and warrant that:

You possess a valid Zoom account with authorization to access and download the cloud recordings you manage.
You comply with all applicable local, state, national, and international laws concerning meeting recording, wiretapping, privacy, and participant consent. You are solely responsible for ensuring that participants in recorded meetings have given proper consent where required by law.
You will maintain the confidentiality and security of any credentials, tokens, or encryption keys stored on your host machine.
You will not reverse-engineer, decompile, or attempt to extract source code from the Application, except to the extent permitted by applicable open-source licenses.

4. Intellectual Property

Our Intellectual Property: The Zoom BackUpz software, including but not limited to its architecture, code, algorithms, graphical interface, icons, and documentation, is protected under copyright, trademark, and intellectual property laws.

Your Content: You retain complete, unencumbered ownership of all meeting recordings, videos, audio files, chat transcripts, and data accessed or downloaded through the Application. Zoom BackUpz claims no ownership, copyright, or intellectual property rights over any of your meeting content.

Third-Party Trademarks: ZOOM is a registered trademark of Zoom Video Communications, Inc. Zoom BackUpz is an independent utility and is not endorsed, sponsored, or affiliated with Zoom Video Communications, Inc.

5. Disclaimers of Warranties

THE APPLICATION IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT GUARANTEE THAT THE APPLICATION WILL OPERATE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, NOR DO WE WARRANT THAT ANY RECORDING DATA ON ZOOM SERVERS WILL REMAIN ACCESSIBLE IF MODIFIED OR DELETED BY ZOOM OR BY YOUR ACCOUNT ADMINISTRATOR.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZOOM BACKUPZ, ITS DEVELOPERS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE APPLICATION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. Termination and Deauthorization

You may terminate your agreement with these Terms at any time by:

Uninstalling the Zoom BackUpz software from your computer.
Revoking access to the Application via the Zoom App Marketplace (under Manage > Added Apps > Remove).

We reserve the right to discontinue or modify the Application at any time without prior notice.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the developer operates, without regard to its conflict of law provisions.
